The U.S. National Hurricane Center in Miami said Friday morning that the storm is located about 1,260 miles (2,030 kilometers) southwest of the southern tip of Mexico's Baja California peninsula.
It's moving west near 14 mph (22 kph) with maximum sustained winds of 30 mph (45 kph).
Forecasters say strengthening is likely and the depression could become a tropical storm later Friday or on Saturday.
There are no coastal watches or warnings in effect.
